Terms of Service
These terms govern access to and use of OpenDesk, including its AI-powered communication, scheduling, social, payment, and business-operations features.

Acceptance and eligibility
By creating an account or using OpenDesk, you agree to these terms. You must be legally able to enter a binding agreement and authorized to act for any business you register. If you do not agree, do not use the service.
The service
OpenDesk provides business automation tools that may answer calls and messages, prepare content, manage customer records, schedule services, coordinate payments, and perform other configured actions. Features depend on the plan, configuration, connected providers, and provider approval. We may modify or discontinue features as the service evolves.
Your account and business data
You are responsible for accurate account information, safeguarding access credentials, activities under your account, and maintaining lawful rights to information you submit. You retain ownership of your business content. You grant OpenDesk permission to host, process, reproduce, and transmit that content only as needed to provide, secure, and improve the service.
Acceptable use
You may not use OpenDesk to violate law or third-party rights; deceive or impersonate others; send unlawful, abusive, or unsolicited communications; distribute malware; bypass access controls; interfere with the service; collect sensitive information without authorization; or create or publish prohibited content. You must honor opt-outs and all applicable telemarketing, messaging, recording, privacy, advertising, and consumer-protection rules.
AI and automated actions
AI output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for configuring approvals, reviewing important output, supervising automated actions, and deciding whether results are appropriate. OpenDesk does not provide legal, medical, financial, or other professional advice.
Third-party services
Connected services are provided by third parties and governed by their own terms. You authorize OpenDesk to access and use those services within the permissions you grant. We are not responsible for a provider's availability, decisions, policy changes, account restrictions, or acts. Disconnecting a provider may disable related OpenDesk features.
Fees and subscriptions
Paid features are billed according to the plan and pricing shown when you subscribe. Unless stated otherwise, subscriptions renew until canceled. You authorize applicable recurring charges and taxes. Provider usage, communications, payment processing, and other third-party fees may be separate. Except where law requires otherwise, fees already paid are nonrefundable.
Confidentiality and security
Each party will use reasonable care to protect nonpublic information received from the other and use it only for the service relationship. You must promptly report suspected unauthorized account use. Our handling of personal information is described in the Privacy Policy.
Intellectual property
OpenDesk and its software, design, documentation, and branding are owned by OpenDesk or its licensors. These terms grant only a limited, revocable, nonexclusive right to use the service during your account term. Feedback may be used without restriction or compensation.
Suspension and termination
You may stop using the service at any time. We may suspend or terminate access for material breach, security risk, unlawful conduct, nonpayment, provider restrictions, or conduct that may harm users or the service. Provisions that by nature should survive termination will survive.
Disclaimers
To the extent permitted by law, the service is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, noninfringement, and uninterrupted or error-free operation. Nothing in these terms excludes rights that cannot legally be excluded.
Limitation of liability
To the extent permitted by law, OpenDesk will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, business interruption, or third-party provider conduct. OpenDesk's aggregate liability arising from the service will not exceed the amount you paid OpenDesk during the three months before the event giving rise to the claim.
Changes and contact
We may update these terms and will post the revised version with a new effective date. Continued use after an update means you accept the revised terms. Questions may be submitted through the authenticated OpenDesk dashboard.
